Terms of service

Dated 17 October 2026

Draft, not yet in force

Who we are

Load Marshal is made, sold and run by Aerial Empire Ltd, trading as Yard 14 ("we" or "us").

Aerial Empire Ltd, trading as Yard 14, is a company registered in England and Wales, number 09085057, VAT number GB 311 0644 58. Its registered office is Spitalfields House, Stirling Way, Borehamwood, Hertfordshire WD6 2FX.

You can reach us at nic@yard14.com.

This desk is a demonstration. Its jobs, firms, lorries and people are made up, and nothing done on it buys, sells or moves any haulage. A real desk is run by a firm that buys Load Marshal from us ("the firm").

"You" means anyone who signs in: the firm's own desk staff, and the office staff and drivers of the hauliers it works with. By using the app you agree to these terms.

The service

Load Marshal is a haulage desk on the web and on phones. A firm uses it to send jobs to the hauliers it subcontracts, take their prices, award the work, follow each load, check tickets and weights, and settle up.

Each firm buys it under an order form with us. The order form sets the firm's fees, its term, its seats and anything else agreed. Where the order form and these terms differ, the order form wins.

We keep improving the app, and may change how it looks or works. We will not take away a main part of what a firm has paid for during its term.

What the firm does

The firm will:

  • Decide who gets a seat, and take people off when they leave.
  • Make sure what it puts into the app is accurate, and that it has the right to use it, including the personal data of its own staff and its hauliers' staff.
  • Check what the app suggests before relying on it, including figures read from tickets and papers by AI.
  • Keep to its own duties in law, such as waste carrier checks, duty of care paperwork and tax records. The app helps with them but does not take them over.
  • Pay the fees in its order form on time.

The firm stays responsible for its contracts with its hauliers, and for what its own users do in the app.

What you do

  • Keep your sign-in to yourself, and tell the desk at once if you think someone else has used it.
  • Give true details, and keep them up to date.
  • Use the app only for the firm's haulage work.
  • If you drive, never use the app while driving. The app locks its screen while the lorry moves: do not try to get round that. Pull over safely first.

Acceptable use

You must not:

  • Break the law with the app, or use it to mislead, harass or cheat anyone.
  • Upload anything harmful, such as a virus, or anything you have no right to share.
  • Try to reach parts of the app, or another firm's data, that are not yours.
  • Copy, resell or take apart the app, or read it with bots or scrapers.
  • Overload it, get round its limits, or test its security without our written agreement.

We may remove anything that breaks these rules, and stop a sign-in that keeps breaking them.

Fees

The firm pays the fees set in its order form. No prices are published here: each firm's order form sets its own.

Fees are in pounds sterling and exclude VAT, which is added at the rate in force. Invoices are due within 30 days of their date, unless the order form says otherwise.

If an invoice is unpaid 30 days after it is due, we may charge interest as the Late Payment of Commercial Debts (Interest) Act 1998 allows.

Hauliers and their staff pay us nothing to use the app.

Data and confidentiality

On this demonstration desk we decide what is held, so we are the controller of anything entered on it. We use it only to show and run the app, and we never sell it.

On a firm's own desk, the firm owns the data that it and its hauliers put into the app, and we handle the personal data in it on the firm's behalf, as its processor, under the data processing agreement that comes with its order form.

The privacy notice, linked at the foot of this page, says what is held, why, who else handles it and for how long.

Each side keeps the other's confidential information private, uses it only for the service, and protects it with proper care. This does not cover information that is already public, or that the law requires to be shared.

Before its contract ends, a firm can ask us for a copy of its data. After it ends, we delete or return the data as the data processing agreement says, apart from what the law asks us to keep.

Availability and support

We aim to keep the app running at all hours, but we cannot promise it will never stop. We plan maintenance for quiet times where we can, and fix faults as fast as we reasonably can.

Some parts rely on others: mobile networks, phone makers' alert services, public registers and AI services. While one of them is down, the part that relies on it may be too.

Hauliers and drivers ask the desk first: its details are on the Support page. The firm's desk reaches us by email, on working days. Any response times agreed with a firm are in its order form.

Suspension and ending

A firm's contract runs for the term in its order form, and renews as the order form says.

Either side may end it by written notice if the other seriously breaks these terms and does not put it right within 30 days of being asked, or if the other becomes insolvent.

We may suspend a sign-in or a desk at once where that is needed to protect the app, its users or their data, or where the law requires it. We may also suspend a desk whose invoice is more than 30 days overdue, after 7 days' written notice.

The firm can take any user off at any time, and you can remove your own sign-in in the app.

When a contract ends, every sign-in on that desk stops, and the firm pays any fees owed up to the end.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

Neither side is liable for loss of profit, revenue, business, goodwill or expected savings, or for any indirect or consequential loss.

Otherwise, each side's total liability to the other in any 12 months is limited to the fees the firm paid or owed for the app in those 12 months. This limit does not apply to the firm's duty to pay the fees.

Our total liability to a haulier, or to anyone using the app other than the firm, is limited to £100.

The firm chooses how the app awards and confirms work, including any rule that does it without a person. We are not responsible for the haulage itself, or for the prices, loads, waste paperwork or payments agreed between the firm and its hauliers.

If you work for a haulier

Your firm works for the firm that runs the desk, not for us. The jobs, prices, awards, loads and payments in the app are between your firm and the firm that runs the desk. We are not a party to them, we set no prices, and we pay for no haulage.

Your firm may be asked to sign the desk's own haulier terms in the app. Those terms are between your firm and the firm that runs the desk, and sit beside these.

Whoever signs in for your firm's office must have the right to act for it. Prices, signatures and papers sent from your office's sign-ins count as your firm's.

Keep your firm's papers, lorries and drivers up to date in the app. A firm whose required papers have run out may not be sent jobs until new ones are approved.

A driver shares where the lorry is only by tapping to share it, and only while a load is on the road.

Either your firm or the firm that runs the desk can end your firm's use of the desk. What your firm did on it stays in the desk's records, as the privacy notice explains.

Changes

We may update these terms. The new version is shown here with its date, and we tell each firm at least 30 days before a change that matters to it takes effect. A firm that does not accept the change may end its contract before it applies.

A change to a firm's order form needs both sides to agree in writing.

Governing law

These terms, and any dispute about them, are governed by the law of England and Wales, and only the courts of England and Wales may decide them.

If any part of these terms cannot be enforced, the rest still applies. Only we, the firm and you may enforce them.

Together with the order form and the data processing agreement, these terms are the whole agreement between us and the firm about the app.
